Welcome to this site (“Site”).
Merz Aesthetics* (“we”, “us” or “our”) provide these Terms and the Site’s Privacy Notice (“Privacy Notice”), to outline our relationship with you (the Privacy Notice forms part of these Terms).
*As referred to in these Terms and the Privacy Notice, “Merz Aesthetics” means Merz Asia Pacific Pte. Ltd. and, where applicable, its related entities and affiliates in Singapore (“Location”).
1. Acceptance of Terms
These Terms are a contract between you and Merz Aesthetics. This contract governs your access to and/or use of the Site and any and all pages, options, and services on the Site. Please read and review these Terms carefully. By accessing, browsing, entering and submitting information to, creating an account, logging into or using the Site, you confirm that you have read and expressly agree to accept and abide by these Terms. Further, you acknowledge that we may change these Terms at any time without notice. You should review these Terms each time you visit and/or use the Site.
Any use of the Site in a manner inconsistent with these Terms is unauthorized and may subject you to civil or criminal penalties. If you violate these Terms, Merz Aesthetics retains the right to remove any content that you enter or save in the Site, and suspend or terminate any account you have created without any liability. If you do not agree to accept and abide by these Terms, please exit and do not use the Site.
We provide the Site as a general educational and reference tool for qualified healthcare professionals (“HCP”) use only, based on information entered by both the HCP and their patients (“Patients”) to the Site. The Site, its content, outputs, guidance, recommendations or other information are not intended to constitute, and must not be relied upon as, medical advice, diagnosis, treatment recommendation or a substitute for the independent professional judgment of a qualified HCP. We do not guarantee the accuracy, completeness, suitability or clinical appropriateness of any information, output or recommendation generated through the Site, and you remain solely responsible for assessing and/or verifying any information before relying on or acting upon it, and you remain solely responsible for relying on, acting upon using the information.
For the purposes of these Terms, references to “HCP” mean the qualified healthcare professionals who access, use, reviews, refers or submits information through the Site. The definition of HCP also includes HCP’s clinic, hospital, institution, employer, authorized personnel or representative (who must also a qualified healthcare professional); and references to “Patients” mean the individuals or patients whose information is entered, uploaded, submitted or otherwise processed through the Site. References to “User” or “Users” or “you” or “your” mean HCP and Patients collectively.
2. Eligibility and Professional Use
1) HCP and Patients from the Location.
You must be HCP or Patient from the Location to use the Site. The Site supports role-based access by HCP and Patients.
The Site is intended solely:
(aa) For role-based access by HCP - registration and use by duly qualified and licensed HCP who are authorized under applicable laws, professional rules and institutional requirements in the Location to assess patients and make independent medical and/or treatment decisions. By registering of account with the Site, you represent and warrant that you are HCP holding all registrations, licenses, qualifications, authorizations, training and professional standing required to use the Site, and you are legally qualified to provide any treatment, procedure, prescription, recommendation, advice, follow-up care or patient management in the Location. The Site is not intended for use by any person who is not a professionally qualified HCP to make independent clinical, medical and treatment decisions. HCP is responsible for ensuring that HCP’s use of the Site is permitted by HCP’s employer, clinic, hospital, institution, applicable professional body, and applicable laws and regulations; and
(bb) For role-based access by Patient - Patients in the Location, with their designated HCP who has been granted an account to access and use the Site. Patient may provide and enter their information on the Site solely for review and assessment by their HCP.
2) Individuals 18 and older.
You must be 18 years old or over to use this Site.
3) Unauthorized user.
If you are not a HCP or a Patient, or if you have been previously suspended or removed from the Site, or if HCP’s account with the Site has been disabled or closed, or HCP leaves HCP’s current clinic, institution or practice, changes role, ceases to provide services to the relevant Patient, or otherwise no longer requires access to the Site, you must immediately exit and stop using the Site. The HCP shall promptly notify the Site administrator and is solely responsible for ensuring that their account and all associated access rights are deactivated, removed or terminated when access is no longer required. The HCP acknowledges and agrees that any data breach, unauthorized access, disclosure, loss or misuse of personal data resulting from the HCP’s failure to ensure the timely deactivation, removal or termination of their account and associated access rights shall be the sole responsibility of the HCP, and Merz Aesthetics shall have no liability in respect of such breach, access, disclosure, loss or misuse to the maximum extent permitted by applicable law.
3. Purpose of the Site
The Site is designed to provide general treatment guidance, educational support and/or reference information for HCP. The Site may generate outputs, suggestions, options, prompts, risk indicators, treatment pathways, treatment guidance, or other guidance based on information entered by you and configured parameters within the Site (“Site Output”). The Site Output is provided solely for informational, reference and guidance purposes only. It is not, and must not be treated as, medical advice, treatment advice, clinical diagnosis, a prescription, a mandatory instruction, a substitute for professional medical judgement, or a replacement for independent patient assessment.
The Site is intended to be used by HCP solely as a general educational and reference tool, and not for any other purposes. Notwithstanding that the Site may include a comment, note or free-text section for HCP to insert notes, such functionality is provided only to support HCP’s review and use of the Site and does not make nor should the Site be used as a treatment record system, medical record system, clinical record repository or patient charting tool. HCP must not use the Site to create, maintain or store medical history, medical records, treatment records, clinical notes, prescriptions, diagnoses, or other patient healthcare records. HCP remains solely responsible for maintaining all required treatment records, medical history and medical records outside the Site in accordance with applicable laws, professional obligations and institutional requirements.
4. No Medical Advice; HCP Clinical Judgement
HCP acknowledges and agrees that HCP remains solely responsible for all professional, clinical, medical, therapeutic, procedural, diagnostic, treatment and patient management decisions. HCP must independently evaluate each patient and determine whether any Site Output is appropriate, accurate, complete, safe and suitable for the specific patient, indication, treatment area, product, procedure, medical history, contraindications, risk factors, local standard of care and applicable laws.
Merz Aesthetics, the Site and Site Output do not provide medical advice, make treatment decisions, diagnose patients, prescribe products, recommend any specific treatment to any Patient, or assume any duty of care to any Patient.
- HCP must exercise HCP’s own independent professional judgement at all times.
- HCP must not rely solely on the Site or any Site Output when making treatment decisions.
- HCP must verify all treatment guidance against applicable product labels, instructions for use, approved indications, patient-specific considerations, institutional policies and local laws.
- HCP must not proceed with any treatment unless, in HCP’s professional judgement, it is clinically appropriate, lawful and in the patient’s best interests.
5. Patient Personal Data and HCP Responsibilities
HCP and/or Patients may enter or upload Patients’ personal data, images, records, notes, or other information into the Site (“Patient Data”). HCP is solely responsible for determining what Patient Data is necessary, appropriate, accurate, complete, lawful and proportionate for the intended use of the Site.
HCP must ensure that HCP has obtained all necessary Patients notices, consents, authorizations and/or other lawful bases required under applicable data protection, privacy, medical confidentiality, healthcare, professional and institutional requirements before entering Patient Data into the Site.
- HCP must not enter Patient Data unless HCP is legally permitted to do so, and HCP has obtained all necessary Patient consent.
- HCP must not enter more Patient Data than is necessary for the intended purpose.
- HCP must promptly correct or delete inaccurate or unnecessary Patient Data where required or appropriate.
- HCP is responsible for responding to Patients’ questions, requests, complaints, consents, withdrawals or objections.
HCP represents and warrants that HCP has conducted HCP’s own due diligence and assessment of the Site, including its security, access controls, functionality, limitations and suitability for HCP’s intended professional use, and accepts the Site and its security arrangements as suitable for such use. HCP remains solely responsible for determining whether use of the Site is appropriate for HCP’s clinic, institution, patients and applicable legal, professional, data protection and security obligations.
6. Data Processing and Protection Roles
Patients hereby consent to HCP, HCP’s clinic, hospital, institution, employer, personnel and representatives collecting, accessing, using, reviewing, uploading, submitting, disclosing, transferring, retaining and otherwise processing Patient Data for the purposes of HCP’s reference and treatment planning according to HCP’s independent professional judgement, and HCP’s lawful use of the Site. Patients further consent to HCP’s authorized service providers (including Merz Aesthetics), contractors, technology vendors, support providers and other persons acting on behalf of, or providing services to, HCP or HCP’s clinic, hospital or institution collecting, accessing, using, reviewing, disclosing, transferring, retaining and otherwise processing Patient Data where necessary or useful for the purposes of operating, maintaining, securing, supporting, troubleshooting, administering and improving the Site, generating Site Output for HCP review, managing Site accounts and access controls, maintaining consent records and audit trails, conducting analytics, conducting quality assurance, performing review, monitoring and improving the Site, de-identifying, anonymizing, aggregating and creating non-identifiable data or datasets, complying with legal, regulatory, pharmacovigilance, product complaint, audit, security, compliance, investigation and risk-management requirements or to provide other services relating to HCP’s lawful use of the Site.
HCP hereby consent and agree to Merz Aesthetics, its related entities, affiliates, service providers and contractors collecting, hosting, storing, accessing, using, processing, analyzing, transmitting, disclosing, retaining and otherwise handling Patient Data and any other data submitted through the Site for the purposes of operating, maintaining, securing, supporting, troubleshooting, administering and improving the Site, generating Site Output for HCP review, managing Site accounts and access controls, maintaining consent records and audit trails, conducting analytics, conducting quality assurance, performing review, monitoring and improving the Site, de-identifying, anonymizing, aggregating and creating non-identifiable data or datasets, complying with legal, regulatory, pharmacovigilance, product complaint, audit, security, compliance, investigation and risk-management requirements, and exercising Merz Aesthetics’ rights under these Terms.
Merz Aesthetics may engage contractors, hosting providers, cloud service providers, technology vendors, support providers, security providers, analytics providers and other sub-processors or service providers to process Patient Data and any other data where necessary or useful to operate, host, maintain, support, troubleshoot, secure, administer, monitor, improve, update or otherwise provide the Site and related services. Merz Aesthetics shall not be responsible or liable for any act, omission, default, failure, vulnerability, breach, delay, interruption, loss, damage or misconduct of any such third parties, contractors, service providers or sub-processors, except to the extent such liability cannot be excluded under applicable law. Merz Aesthetics shall not be liable for any act, omission, failure, vulnerability, breach, delay, interruption or loss caused by HCP, Patients, HCP’s institution, HCP’s personnel, third-party systems selected or configured by HCP, or circumstances outside Merz Aesthetics’ reasonable control.
Your data may be stored, accessed, transferred, disclosed or processed in Singapore and/or other countries or territories where Merz Aesthetics, its related entities, affiliates, service providers, contractors or sub-processors operate or maintain systems, subject to applicable laws. By using the Site, HCP and Patient consent to such transfers and processing. Merz Aesthetics’ decision to permit, facilitate or perform a transfer shall not be treated as a representation, warranty or confirmation that HCP’s collection, use, disclosure, transfer or other processing of Patient Data complies with applicable laws, and HCP remains solely responsible for ensuring that any collection, use, disclosure, transfer or other processing of Patient Data by or on behalf of HCP complies with all applicable data protection, privacy, healthcare, medical confidentiality, professional, institutional and cross-border transfer requirements.
As between HCP and Merz Aesthetics, HCP is the independent data controller of Patient Data and remains solely responsible and accountable for any suspected or actual personal data breach, unauthorized access, loss, misuse, disclosure, alteration, corruption or compromise of Patient Data arising from or relating to HCP’s collection, submission, access, use, disclosure, transfer, retention or other processing of Patient Data, HCP’s account or HCP’s use of the Site. HCP shall be solely responsible for determining, implementing and maintaining appropriate data retention and deletion periods in accordance with all applicable laws, regulations, professional obligations and regulatory requirements. HCP shall ensure that Patient Data is retained only for as long as necessary for the purposes for which it was collected or as otherwise required by applicable laws, and shall promptly delete, anonymize or otherwise dispose of such Patient Data when retention is no longer required. Merz Aesthetics shall have no responsibility or liability for the HCP’s compliance with applicable data retention, deletion, recordkeeping or archival obligations. HCP shall promptly notify Merz Aesthetics of any such incident and shall be responsible for assessing, investigating, mitigating, remediating, documenting and making any required notifications to Patients, authorities, regulators or other persons under applicable law. If Merz Aesthetics becomes aware of a personal data breach affecting Patient Data processed through the Site, Merz Aesthetics will respond to the breach in accordance with applicable law and may provide reasonable cooperation to HCP where legally required and technically feasible. Nothing in these Terms creates any notification, remediation, compensation, indemnity or liability obligation for Merz Aesthetics beyond what is expressly required by applicable law.
For the avoidance of doubt, Merz Aesthetics’ provision, operation, hosting, support or administration of the Site, or any processing of Patient Data on behalf of, at the request of, or for the benefit of HCP or HCP’s institution, shall not make Merz Aesthetics a controller, joint controller, healthcare provider, medical record custodian decision-maker in respect of Patient Data, nor shall it impose on Merz Aesthetics any controller obligations, fiduciary duties, professional duties, patient-care responsibilities, data subject request obligations, consent-management obligations, recordkeeping obligations, notification obligations, liability or accountability that properly rests with HCP, HCP’s institution or another applicable controller, except to the extent such obligations cannot be excluded under mandatory applicable law.
7. Security, Account Credentials and Access Controls
HCP is responsible for maintaining the confidentiality and security of HCP’s account credentials, devices, networks and access environment. HCP must not share login credentials or permit any unauthorized person to access the Site through HCP’s account.
HCP shall remain responsible for implementing and maintaining appropriate administrative, technical, organizational and physical security measures outside the Site to protect Patient Data, including safeguards for HCP’s devices, networks, systems, storage locations, backups, credentials, access rights and local records, clinic systems, credentials, personnel access, exports, downloads, screenshots, printouts and any onward disclosure or use of Patient Data by HCP, HCP’s institution or personnel. HCP shall ensure that only authorized personnel with a legitimate need may access Patient Data through HCP’s account or HCP’s clinic environment. HCP is responsible for all activity conducted through HCP’s own account.
HCP shall be primarily responsible for handling and responding to Patients’ access, correction, deletion, withdrawal, objection, portability, restriction, complaint, enquiry or other data protection requests relating to Patient Data.
8. System Vulnerabilities, Cybersecurity and Availability Disclaimer
You understand and acknowledge that the Site may be subject to inherent technology risks, including software defects, bugs, errors, interruptions, delays, loss of data, incompatibilities, outages, cyberattacks, malware, ransomware, unauthorized access, denial-of-service attacks, third-party vulnerabilities, connectivity failures, device limitations, browser issues, configuration errors and other system vulnerabilities.
You acknowledge that Merz Aesthetics does not guarantee absolute security, uninterrupted availability, error-free operation or immunity from cyber threats. To the maximum extent permitted by applicable law, Merz Aesthetics does not warrant that the Site will be uninterrupted, error-free, secure, invulnerable, free from defects, free from malicious code, compatible with all systems, or available at all times or in all locations. Merz Aesthetics disclaims all liability arising from or relating to system vulnerabilities, security weaknesses, misuse, unauthorized access, service interruptions, data transmission errors, data corruption, loss of data, delayed outputs, inaccurate outputs, unavailability, downtime or technology failures, except to the extent such liability cannot be excluded under applicable law.
9. Personal Data Breach and Data Loss Disclaimer
To the maximum extent permitted by applicable law, Merz Aesthetics shall have no liability for, and expressly disclaims all responsibility arising from or relating to, any personal data breach, unauthorized access, loss, alteration, corruption, disclosure, destruction, unavailability or compromise of Patient Data or other data, whether arising directly or indirectly from: (a) HCP’s failure to obtain required consents, notices, authorizations; (b) any inaccurate, incomplete, excessive, unlawful or inappropriate Patient Data entered, uploaded or submitted; (c) any compromise, misuse or failure of HCP’s device, network, account, credentials, systems, personnel, clinic environment or access controls; (d) any unauthorized access, use, disclosure or processing by HCP’s personnel, representatives, patients or third parties; (e) any third-party systems, service providers, hosting environments, cloud platforms, integrations, software, tools or connectivity services for the Site; (f) any cyberattack, malicious activity, malware, ransomware, phishing, denial-of-service attack, vulnerability, security weakness or technology failure; or (g) any event, circumstance, act or omission outside Merz Aesthetics’ reasonable control, except only to the extent such liability cannot be excluded under mandatory applicable law.
For the avoidance of doubt, Merz Aesthetics shall not be responsible for any notification, remediation, compensation, indemnity, investigation, patient communication, regulatory filing, fine, penalty, claim, loss or damage arising from or relating to any such incident, except to the extent expressly required of Merz Aesthetics under mandatory applicable law. Nothing in these Terms creates any additional contractual, statutory or other liability for Merz Aesthetics beyond what cannot lawfully be excluded.
10. Accuracy and Completeness of Information
Merz Aesthetics is not responsible for verifying Patient Data or other information submitted to the Site, and Merz Aesthetics disclaims all liability arising from inaccurate, incomplete, outdated, misleading, unauthorized or inappropriate information entered into the Site.
11. No Warranties
The Site and all Site Output are provided on an “as is”, “as available” and “with all faults” basis. To the maximum extent permitted by applicable law, Merz Aesthetics expressly disclaims all warranties, representations, conditions, undertakings and guarantees, whether express, implied, statutory or otherwise, including any warranty of accuracy, completeness, reliability, timeliness, fitness for a particular purpose, merchantability, satisfactory quality, non-infringement, availability, security, compliance with any particular clinical standard, or suitability for any patient, treatment, indication, jurisdiction, product or procedure.
For the avoidance of doubt, Merz Aesthetics does not undertake to provide any minimum service level, response time, uptime, maintenance window, troubleshooting timeline, maintenance commitment or support commitment to the Site. Any maintenance, service support or technical support provided by Merz Aesthetics is provided on a discretionary, as-available basis, and Merz Aesthetics shall not be responsible or liable for any delay, interruption, failure or inability to provide any maintenance, service support or technical support to the Site. Merz Aesthetics is not required to create, maintain, retain, preserve, back up, archive, return, export, restore or provide access to any Patient Data, backup information, archived data, restored data, historical records or other information submitted through or generated by the Site. Merz Aesthetics does not guarantee that any such information will exist or be available, complete, accurate, recoverable, restorable or accessible at any time.
12. Regulatory, Product and Local Law Compliance
You are solely responsible for ensuring that your use of the Site, any Site Output and any treatment or product use complies with all applicable laws, regulations, professional standards, medical codes, advertising and promotion rules, pharmacovigilance or vigilance requirements, product approvals, product labels, instructions for use, contraindications, warnings, precautions and institutional policies.
You shall not use the Site Output to support any off-label, unauthorized, unlawful, unsafe or inappropriate treatment, promotion, representation or patient communication.
13. Prohibited Use
HCP shall not:
- use the Site as the sole basis for diagnosis, treatment, prescription, procedure selection, injection planning, patient eligibility assessment or patient management;
- enter Patient Data without all required consents, notices or authorizations;
- use the Site for emergency care, life-support, critical care, urgent diagnosis or any situation where delay or error could create material risk of harm;
- reverse engineer, decompile, disassemble, modify, resell, sublicense or create derivative works from the Site;
- interfere with, bypass, test, exploit or compromise any security, access control, usage restriction or technical protection measure;
- upload viruses, malicious code, unlawful content, infringing content, discriminatory content, or data that you are not authorised to process;
- use the Site in a manner that could cause damage to Merz Aesthetics, patients, other users, third parties, or the integrity, security or availability of the Site.
14. Third-Party Systems and Services
The Site may rely on, interoperate with, link to, or incorporate third-party software, hosting, cloud services, analytics, connectivity, operating systems, browsers, devices, content, databases, clinical references, artificial intelligence systems or other third-party components (“Third-Party Services”). Merz Aesthetics does not control or operate the Third-Party Services and shall not be liable for any act, omission, failure, vulnerability, unavailability, error, data breach, in accuracy, security incident or content of any Third-Party Service, except to the extent such liability cannot be excluded under applicable law.
15. Artificial Intelligence / Algorithmic Output
To the extent the Site uses artificial intelligence, machine learning, rules-based logic, algorithms, automated analysis, predictive functions, or other computational tools, you acknowledge that such tools may produce inaccurate, incomplete, biased, outdated, unexpected or unsuitable output. Site Output must be reviewed, verified and independently assessed by HCP as a qualified healthcare professional before any reliance or use.
Merz Aesthetics does not warrant that any algorithm, model, parameter, dataset, rule, prompt, calculation, clinical pathway or Site Output will be correct, complete, current, explainable, suitable, clinically validated for all patients, free from bias, or appropriate for any specific treatment decision.
16. Intellectual Property
The Site, including all software, interfaces, designs, workflows, text, graphics, logos, icons, algorithms, models, databases, content, documentation, know-how and other materials made available by or on behalf of Merz Aesthetics, is owned by or licensed to Merz Aesthetics and is protected by applicable intellectual property and other laws. Except for the limited right to access and use the Site in accordance with these Terms, no right, title or interest is transferred to you.
17. Licence to Use
Subject to your compliance with these Terms, Merz Aesthetics grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site solely for your use in accordance with these Terms and applicable laws.
18. Indemnity
To the maximum extent permitted by applicable law, HCP shall indemnify, defend and hold harmless Merz Aesthetics, its related entities, affiliates, officers, directors, employees, agents, licensors, contractors, service providers and sub-processors from and against all claims, demands, complaints, investigations, proceedings, fines, penalties, losses, liabilities, damages, costs and expenses arising out of or relating to: (a) HCP’s collection, entry, upload, use, access, disclosure, transfer, retention or other processing of Patient Data; (b) HCP’s failure to provide required notices or obtain required consents, authorizations; (c) inaccurate, excessive, unlawful, unauthorized or inappropriate Patient Data submitted through the Site; (d) HCP’s breach of these Terms or applicable data protection, privacy, healthcare, medical confidentiality, professional or institutional requirements; (e) any instruction, configuration, access, export, disclosure or use requested or performed by HCP; (f) HCP’s failure to comply with its data retention and deletion obligations under the applicable laws; or (g) any claim by a Patient, HCP’s institution, regulator or third party arising from HCP’s use of the Site or Patient Data.
19. Exclusion of Liability
To the maximum extent permitted by applicable law, Merz Aesthetics shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive or enhanced damages; loss of profits, revenue, business, goodwill, opportunity, anticipated savings or reputation; loss, corruption or interruption of data; personal data breach; cybersecurity incident; clinical decision, treatment outcome, patient injury, patient claim, adverse event or medical malpractice claim; regulatory action; professional disciplinary action; service interruption; system vulnerability; inaccurate, delayed or incomplete Site Output; or any other loss arising out of or relating to the Site, Site Output, Patient Data, these Terms or your use of or inability to use the Site, whether based on contract, tort, negligence, breach of statutory duty, strict liability, misrepresentation, restitution or otherwise, even if Merz Aesthetics has been advised of the possibility of such loss.
For the avoidance of doubt, and without limiting the foregoing, Merz Aesthetics shall not be liable for any treatment recommendation, treatment decision, product selection, dosage, procedure, injection technique, patient assessment, patient outcome, patient injury or claim where the HCP has used, considered, relied on or disregarded any Site Output.
20. Limitation of Liability
Without prejudice to the exclusions above, and to the maximum extent permitted by applicable law, Merz Aesthetics’ total aggregate liability arising out of or relating to the Site, Site Output, Patient Data, these Terms or your use of the Site shall not exceed USD 100, whether in contract, tort, negligence, breach of statutory duty, strict liability or otherwise.
21. Delay, Suspension, Withdrawal, Termination and Modification
Merz Aesthetics may, at any time and in its sole discretion, without notice and without liability to HCP, Patients or any third party, update, modify, suspend, restrict, disable, terminate, remove, discontinue or withdraw the Site, any feature, any Site Output, any content, any user account, any access right, or any maintenance, support or service function. Such action may be taken for any reason, and Merz Aesthetics shall not be liable for any loss, damage, claim, interruption, delay, unavailability, inability to access Patient Data, inability to generate Site Output, or other consequence arising from or relating to any suspension, restriction, termination, removal, discontinuation, withdrawal, modification, service delay, maintenance delay or support delay involving the Site.
22. Confidentiality
The Site and any non-public information, documentation, technical materials, training materials, workflows, parameters, algorithms, or other information in the Site are confidential. You must not disclose, reproduce, publish, distribute or use such confidential information except as necessary for your permitted professional use of the Site in accordance with these Terms.
23. Termination
Merz Aesthetics may terminate or suspend your access to the Site immediately if you breach any of these Terms, misuse the Site, create security, privacy, regulatory or patient safety risks, cease to be eligible to use the Site, or if required by law, regulatory authority, institutional requirement or business decision. Upon termination, you must stop using the Site and delete or return any Merz Aesthetics confidential information in your possession without demand, unless retention is required by law.
Upon expiry, suspension, termination, account closure or discontinuation of access, Merz Aesthetics is not required to return, export, restore or preserve Patient Data for you. HCP is solely responsible for maintaining any medical records, treatment records, clinical notes or patient records that HCP or HCP’s institution is required or obliged to, outside of the Site.
HCP must not access, view, download, use, retain or otherwise process Patient Data through the Site once HCP is no longer the designated HCP for the relevant Patients, no longer has a lawful basis or patient authorization to access such Patient Data, or no longer requires access for the permitted purpose. HCP shall promptly notify Merz Aesthetics to disable or close HCP’s account, or update HCP’s access rights, when HCP leaves HCP’s current clinic, institution or practice, changes role, ceases to provide services to the relevant Patient, or otherwise no longer requires access to the Site.
24. Changes to these Terms
Merz Aesthetics may amend these Terms from time to time by posting updated Terms in the Site. Your continued access to or use of the Site after the updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site
25. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Singapore, without regard to conflict of law principles. The courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Site or Site Output, unless mandatory law requires otherwise.
26. General
If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect. Merz Aesthetics’ failure to enforce any provision shall not constitute a waiver. These Terms, together with the Privacy Notice, constitute the entire agreement governing your use of the Site.
